1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ChairLink LLC, operating the Utility Inbox service ("we," "us," or "our"), governing your access to and use of the Utility Inbox missed-call lead capture service, website, and related tools (collectively, the "Service"). By creating an account, subscribing to the Service, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Utility Inbox provides a missed-call lead capture service designed for local service businesses. The Service forwards unanswered calls to a Utility Inbox phone number, where an automated system answers, gathers caller information, and delivers a lead summary to the subscribing business via SMS and/or email. Features include:
- Dedicated inbound phone number for missed-call forwarding
- Automated call answering and lead intake
- Call recording and transcription
- Real-time lead notifications via SMS and/or email
- Lead management dashboard
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By registering, you represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@chairpal.com if you suspect unauthorized access.
4. Subscriptions and Payment
4a. Fees
Access to the Service requires a paid subscription. Current pricing is displayed on our website and in your account dashboard. All fees are stated in U.S. dollars and are exclusive of applicable taxes, which you are responsible for paying.
4b. Billing
Subscriptions are billed on a recurring basis (monthly or annually, as selected). By providing a payment method, you authorize us to charge all fees when due. Payments are processed by Stripe, and your payment information is governed by Stripe's privacy policy and terms. We do not store your full credit card details.
4c. Failed Payments
If a payment fails, we will attempt to collect payment using Stripe's retry logic. If payment remains outstanding after reasonable attempts, we may suspend or terminate your account. You remain responsible for all outstanding amounts.
4d. Price Changes
We may change subscription prices with at least 30 days' advance notice by email. Your continued use of the Service after the price change effective date constitutes acceptance of the new price.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date. We do not provide refunds for partial billing periods or unused time except where required by law. If you believe you were charged in error, contact us within 30 days of the charge at support@chairpal.com.
6. Call Recording and Telecommunications Compliance
This section is important. Please read it carefully.
The Service records telephone conversations. Recording laws vary significantly by jurisdiction. Federal law (18 U.S.C. § 2511) generally permits recording with the consent of at least one party to the call. However, many U.S. states and other jurisdictions require the consent of all parties ("all-party consent" or "two-party consent" states), including but not limited to California, Florida, Illinois, Maryland, Michigan, Montana, New Hampshire, Oregon, Pennsylvania, and Washington.
You are solely responsible for ensuring that your use of the Service complies with all applicable call recording and wiretapping laws, including providing any required disclosures or obtaining required consents from callers. We provide a general disclosure at the start of calls handled by the Service, but we make no representation that this disclosure satisfies the specific requirements of every jurisdiction.
You agree to indemnify and hold ChairLink LLC harmless from any claims, fines, penalties, or damages arising from your failure to comply with applicable recording laws.
7. SMS and Communications Compliance (TCPA)
The Service sends automated SMS messages to the phone number you register for notifications. By providing your phone number, you consent to receive these messages. You represent that you have the authority to provide consent for the phone number registered and that your use of SMS features complies with the Telephone Consumer Protection Act (TCPA) and all applicable federal and state communications laws. You may opt out at any time by replying STOP or contacting us.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation
- Record calls without legally required consent or disclosures
- Harass, defraud, or harm any person
- Collect personal information from minors
- Transmit spam, unsolicited communications, or malicious content
- Attempt to gain unauthorized access to our systems or another user's account
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service in any way that could damage, disable, or impair our infrastructure
- Resell, sublicense, or commercially exploit the Service without our written permission
We reserve the right to suspend or terminate accounts that violate this section without prior notice and without refund.
9. Intellectual Property
The Service and all its content, features, and functionality — including software, text, graphics, logos, and the Utility Inbox name and marks — are owned by or licensed to Utility Inbox and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes during your subscription term. You may not reproduce, distribute, modify, or create derivative works without our express written consent.
You retain ownership of all content and data you upload or generate through the Service (such as business information, FAQs, and lead data). You grant us a limited license to store, process, and transmit that data solely to provide the Service.
10. Third-Party Services
The Service relies on third-party providers including Telnyx (telephony), Vapi (voice automation), Stripe (payments), Mailgun (email), Supabase (database), and Vercel (hosting). We are not responsible for the availability, accuracy, or actions of these third-party services. Their respective terms of service and privacy policies govern your interaction with them.
11. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the service will capture every missed call, that call recordings or transcriptions will be accurate or complete, or that lead data will be free from errors or omissions. Use of the service is at your sole risk.
12. Limitation of Liability
To the fullest extent permitted by law, ChairLink LLC and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the service, even if advised of the possibility of such damages.
In no event shall our total aggregate liability to you for all claims arising out of or relating to the service exceed the greater of (a) the total fees paid by you to ChairLink LLC in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100.00).
13. Indemnification
You agree to defend, indemnify, and hold harmless ChairLink LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including call recording, wiretapping, or TCPA laws; (d) your violation of any third-party rights; or (e) any content or data you submit to the Service.
14. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, fail to pay fees when due, or if we determine that continued service would create legal or reputational risk. Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable wind-down period following termination, consistent with our Privacy Policy and any applicable legal obligations.
You may terminate your account at any time as described in Section 5. Sections 6, 7, 9, 11, 12, 13, 15, and 16 survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United States and the state of Texas, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Service shall first be subject to informal negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChairLink LLC regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
- No Waiver: Our failure to enforce any provision shall not constitute a waiver of our right to enforce it later.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
- Modifications: We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notice. Continued use after the effective date constitutes acceptance.
- Force Majeure: We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, telecommunications outages, or third-party service failures.
